These Terms govern your use of MIDI Toolbox at miditoolbox.com. MIDI Toolbox is the trading name of li ming xin, the individual operator of this service based in mainland China. By using the service or making a purchase, you agree to these Terms, our Privacy Policy, and our Refund Policy.

The Service

MIDI Toolbox provides browser-based music tools, including MIDI playback, editing, conversion, notation, visualization, analysis, generation, and a cloud-based Audio-to-MIDI transcription service.

Most MIDI tools process files locally in the browser. Audio to MIDI is a cloud service: your selected audio is securely uploaded and sent to a third-party cloud transcription service, as described in our Privacy Policy, to generate an estimated transcription. Audio-to-MIDI results may contain missed or incorrect notes, timing, instruments, dynamics, meter, or tempo and must be reviewed before professional use.

Features may change, be suspended, or be discontinued. We do not guarantee uninterrupted availability or compatibility with every browser, device, or file.

Audio-to-MIDI Purchases

Audio-to-MIDI time is sold as a one-time purchase, not a subscription. It is linked to the email address entered during checkout and can be restored through a secure email link.

• Each paid transcription has a minimum charge of 60 seconds of service credit. For files longer than 60 seconds, usage is measured from the detected audio duration and rounded up to the next second, not to a whole minute. Existing purchasers retain their original per-second charging rule, as shown in their account.
• Purchased time is a limited right to use the Audio-to-MIDI service. It is not money, a deposit, cryptocurrency, or a transferable stored-value instrument.
• Purchased time cannot be transferred, resold, exchanged for cash, or used outside MIDI Toolbox.
• Purchased time does not expire while MIDI Toolbox continues to offer the Audio-to-MIDI service. If the paid service is discontinued, we will provide reasonable notice and address unused balances in accordance with applicable law and our Refund Policy.
• A failed transcription that is identified by our system before delivery is automatically returned to the account balance.
• Current package contents, prices, and file limits are displayed before checkout and form part of the purchase terms.
• Taxes may be calculated and added by Paddle at checkout where required.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for paid Audio-to-MIDI orders. Paddle handles payment processing, applicable taxes, invoices, payment-related support, and approved returns.

Your Audio and Intellectual Property

You retain ownership of content you are entitled to use. You grant MIDI Toolbox and its transcription provider a limited, temporary license to transmit and process uploaded audio solely to operate the requested transcription and related security or support functions.

You must own the audio or have permission from the relevant rights holders to process it. You must not use the service to copy, extract, distribute, or exploit copyrighted recordings without authorization. MIDI Toolbox does not provide a YouTube downloader, third-party URL downloader, or a marketplace for copyrighted audio.

You are responsible for reviewing generated output and obtaining any licenses required for your use of it. We may suspend access or cooperate with lawful notices where infringement or abuse is reasonably suspected.

Acceptable Use

You must not:

• use the service for an illegal, fraudulent, deceptive, or infringing purpose;
• upload malware or content designed to damage or disrupt systems;
• bypass file, trial, payment, security, or usage restrictions;
• share, sell, automate, or abuse access links, sessions, or purchased time;
• reverse engineer the service except where applicable law expressly permits it;
• overload the service or use automated requests that materially interfere with other users;
• misrepresent your identity, ownership, authorization, or affiliation.

We may restrict or terminate access for violations, fraud, chargeback abuse, security risks, or legal requirements.

Payments, Refunds, and Chargebacks

Prices and purchase contents are presented before checkout. Refund requests are governed by our Refund Policy, Paddle's buyer terms and refund procedures, and any mandatory consumer law. Approved refunds or chargebacks may remove unused purchased time and terminate access connected to the refunded transaction.

You may request a refund within 14 calendar days of the purchase date. Refund approval depends on the circumstances described in our Refund Policy; this is not an unconditional money-back guarantee. Mandatory consumer rights are not limited by this request window.

Contact [email protected] before initiating a chargeback so that we can investigate service or access problems. This does not limit any statutory rights.

Privacy

Our handling of local files, cloud audio, account email, payment metadata, cookies, analytics, and service providers is described in our Privacy Policy.

Disclaimers

The service and generated results are provided "as is" and "as available." To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and exact transcription accuracy.

Keep backups of source material and review generated results before relying on them. MIDI Toolbox is a productivity tool, not a substitute for professional musical, legal, or rights-clearance advice.

Limitation of Liability

To the extent permitted by law, MIDI Toolbox and its service providers are not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, lost opportunities, or loss of data arising from use of the service. Our aggregate liability for a claim will not exceed the amount paid for the affected service during the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes liability or consumer rights that cannot lawfully be excluded or limited.

Changes and Termination

We may update these Terms to reflect product, legal, or operational changes. The latest date appears above. Material changes may be announced on the website or by email. You may stop using the service at any time. Provisions that by their nature should survive termination will remain effective.

MIDI Toolbox is the brand operated by li ming xin, an individual based in mainland China. These Terms are governed by the laws of the People's Republic of China, without excluding mandatory consumer protections that apply in the buyer's country.
